Service Description
Vendara is a software service operated by Hot Issue LLC ("Vendara," "we," "our," or "us"). Vendara provides AI-powered tools designed to help Amazon sellers optimize product listings and related e-commerce content. The Services generate recommendations using information you submit together with data provided by third-party services.
Vendara provides recommendations only and does not guarantee any specific business outcome, including search rankings, sales performance, Buy Box eligibility, Amazon policy compliance, or account health.
Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us promptly if you believe your account has been accessed without authorization.
Credits and Payments
Vendara operates on a prepaid credit system.
- One (1) credit has a value of $0.10 USD.
- New accounts receive fifty (50) complimentary credits upon registration.
- Credits are purchased through Stripe and added to your account after successful payment.
- Credits do not expire while your account remains active.
- Purchased credits are generally non-refundable except where required by applicable law.
- If a tool run fails due to a system error before producing results, any reserved credits will automatically be returned to your account.
AI-Generated Content
The Services use artificial intelligence to generate recommendations and content. AI-generated output may be inaccurate, incomplete, outdated, or unsuitable for your particular business needs.
You are solely responsible for reviewing, verifying, editing, and approving all AI-generated content before publishing or relying upon it.
Acceptable Use
You agree not to:
- Violate any applicable law or regulation.
- Violate Amazon policies or the policies of any supported marketplace.
- Submit content that you do not have permission to use.
- Attempt to reverse engineer, disrupt, or interfere with the Services.
- Access another user's account or data without authorization.
- Use automated methods to abuse or overload the platform.
- Resell, sublicense, or redistribute the Services without our written permission.
You remain solely responsible for all content you submit and for any listing changes you publish using recommendations generated by Vendara.
Intellectual Property
Vendara, including its software, branding, logos, designs, and platform, is owned by Hot Issue LLC and is protected by applicable intellectual property laws.
You retain ownership of the listing content and other information you submit to the Services.
Third-Party Services
Certain features rely on third-party providers, including Stripe, Google OAuth, Anthropic, DataForSEO, and Amazon SP-API.
Vendara is not responsible for the availability, performance, policies, or actions of third-party services.
Availability
We may modify, suspend, or discontinue any portion of the Services at any time without prior notice and without liability.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
Vendara does not guarantee the accuracy, completeness, originality, marketplace compliance, search rankings, sales performance, or business results of AI-generated content or recommendations.
Limitation of Liability
To the fullest extent permitted by applicable law, Hot Issue LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the Services.
Hot Issue LLC's total liability for any claim arising from or relating to the Services shall not exceed the total amount paid by you to Vendara during the twelve (12) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Hot Issue LLC, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses arising from your use of the Services, your submitted content, or your violation of these Terms.
Termination
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activity.
Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective upon posting with a revised "Last Updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Force Majeure
Hot Issue LLC shall not be liable for delays or failures caused by events beyond its reasonable control, including internet outages, cloud service failures, governmental actions, natural disasters, or other force majeure events.
